April 10, 2010
[2010/04/10 10:08] Geri Kuhn: Welcome to the April meeting of the Sl Bar Association.
[2010/04/10 10:08] Geri Kuhn: A transcript of the meeting will be posted to our website
[2010/04/10 10:09] Geri Kuhn: We'll start off with an annoucement from Lexis
[2010/04/10 10:09] Geri Kuhn: about possible sponsorship of our bar's 501(c)(3) filing fee
[2010/04/10 10:09] Geri Kuhn: sorry about that
[2010/04/10 10:09] Geri Kuhn: wrong key
[2010/04/10 10:09] Geri Kuhn: Lexis, are you ready?
[2010/04/10 10:09] Lexis Looming: Yes
[2010/04/10 10:10] Geri Kuhn: The floor is yours
[2010/04/10 10:10] Lexis Looming: I have financial reports too but they won't rez here I guess
[2010/04/10 10:10] Geri Kuhn: Sorry Lexis
[2010/04/10 10:10] Geri Kuhn: I meant actually for Legal to go first
[2010/04/10 10:10] Geri Kuhn: I forgot
[2010/04/10 10:10] Lexis Looming: Ben has advised us that his former firm wants to sponser our application
[2010/04/10 10:11] Lexis Looming: Pillsbury Law Firm has offered to pay the $300.00 filing fee
[2010/04/10 10:11] Legal Writer: No problem.
[2010/04/10 10:11] Lexis Looming: ok good Legal knows more about it than me
[2010/04/10 10:12] Legal Writer: Yes, I have spoken with Meggan Maramonte, a marketing director for Pillsbury.
[2010/04/10 10:12] Legal Writer: She is in the DC office.
[2010/04/10 10:12] Legal Writer: I had asked Ben about the possibility of PayPal sponsoring our 501c3 application.
[2010/04/10 10:12] Legal Writer: He told me that PayPal doesn't do that kind of sponsorship.
[2010/04/10 10:14] Legal Writer: What that means is that Pillsbury is willing to front the $300 filing fee so that we can become a 501c3 charitable organization.
[2010/04/10 10:14] Legal Writer: And in exchange, we would display Pillsbury's logo at our speaker series for the next 12 months.
[2010/04/10 10:14] Rose Springvale: /me raises hand
[2010/04/10 10:14] Legal Writer: And also we would mention the firm's sponsorship at our speaking events.
[2010/04/10 10:14] Legal Writer: Rose?
[2010/04/10 10:14] Legal Writer: Did you have a question?
[2010/04/10 10:15] Rose Springvale: sorry to be late, but do we know the status of the changed filing fees?
[2010/04/10 10:15] Rose Springvale: they are scheduled to go down
[2010/04/10 10:15] Legal Writer: I am not sure what you are referring to.
[2010/04/10 10:15] Rose Springvale: for electronic filing
[2010/04/10 10:15] Legal Writer: I am not aware of anything like that. Lexis?
[2010/04/10 10:15] Lexis Looming: We paid no fee for our 990postage stamp filing
[2010/04/10 10:16] Lexis Looming: with revenue under $25000 there is no annual fee
[2010/04/10 10:16] Rose Springvale: let me check fees changed as of jan 1, but they are supposed to be implementing electronic filing of 1023's
[2010/04/10 10:16] Legal Writer: Anyway, I think we have a quorum with 10 members.
[2010/04/10 10:16] Rose Springvale: not talking about state law, fed
[2010/04/10 10:16] Lexis Looming: That I don't know Rose
[2010/04/10 10:16] Legal Writer: The point of discussion here is Pillsbury's sponsorship.
[2010/04/10 10:17] Lexis Looming: I am talking federal too, the 1023 is still $300 as far as I know and our filing is on paper
[2010/04/10 10:17] Rose Springvale: i understand, I don't think its a good idea, but that is me
[2010/04/10 10:17] Rose Springvale: which is why i thought the cost was relevant
[2010/04/10 10:17] Legal Writer: I move that we accept Pillsbury's sponsorship of our $300 for our 501c3 filing in exchange for displaying Pillsbury's logo for 12 months, and mentioning it at our speaker series.
[2010/04/10 10:17] Mick Stenvaag: second the montion
[2010/04/10 10:18] Geri Kuhn: Is there any discussion?
[2010/04/10 10:18] Geri Kuhn: All in favor?
[2010/04/10 10:18] Legal Writer: Aye
[2010/04/10 10:18] Mick Stenvaag: Aye
[2010/04/10 10:18] Kaseido Quandry: aye
[2010/04/10 10:18] Geri Kuhn: aye
[2010/04/10 10:18] Lexis Looming: aye
[2010/04/10 10:18] Michele Jigsaw: yes
[2010/04/10 10:19] Geri Kuhn: Anyone opposed?
[2010/04/10 10:19] Rose Springvale: i am
[2010/04/10 10:19] Rose Springvale: nay
[2010/04/10 10:19] Julynn Lilliehook: abstain
[2010/04/10 10:19] Geri Kuhn: Anyone abstain?
[2010/04/10 10:19] Geri Kuhn: I think the motion is approved then.
[2010/04/10 10:19] Legal Writer: Thanks, everyone.
[2010/04/10 10:19] Geri Kuhn: Thank you Legal.
[2010/04/10 10:20] Geri Kuhn: Okay, Lexis, it looks like you have quite a presentation.
[2010/04/10 10:20] Lexis Looming: LOL. It just seemed simpler to put it on display than to have to type it
[2010/04/10 10:20] Rose Springvale: excuse me, is there an agenda?
[2010/04/10 10:20] TelLagu Swords: Sorry.. stepped away for a moment... AYE
[2010/04/10 10:21] Geri Kuhn: Sorry, didn't post the agenda but let me just type it here
[2010/04/10 10:21] Rose Springvale: thanks
[2010/04/10 10:21] Geri Kuhn: I. Update from Ben on status of new land and building
II. Feedback from tour and CLE
III. Report from Lexis on status of finances
IV. Any other business
[2010/04/10 10:21] Geri Kuhn: We have skipped to III.
[2010/04/10 10:22] Lexis Looming: Our current bank balance so to speak is $188,310L We pay $3990 for tier each month
[2010/04/10 10:22] TelLagu Swords: "tier"?
[2010/04/10 10:22] Lexis Looming: We continue to get a small amount of revenue each month from new members
[2010/04/10 10:22] Lexis Looming: Yes for our new land Telagu
[2010/04/10 10:23] Lexis Looming: We have not received any revenue for credential verification in quite a while
[2010/04/10 10:23] Racheal Chevalier: i was away for a moment--"aye"
[2010/04/10 10:23] TelLagu Swords: Thx.
[2010/04/10 10:23] Lexis Looming: The current balance sheet and comparative profit and loss are displayed
[2010/04/10 10:24] Lexis Looming: Does anyone have any questions?
[2010/04/10 10:24] Rose Springvale: can you please translate this into USD?
[2010/04/10 10:24] Rose Springvale: i'm a little confused on why we need sponsorship
[2010/04/10 10:25] TelLagu Swords: It's roughly L$260 for each real $USD, so divide all by 260 to convert.
[2010/04/10 10:26] SlMON Batista: hi can i join you here?
[2010/04/10 10:26] Geri Kuhn: Simon, yes.
[2010/04/10 10:26] Lexis Looming: welcome Simon
[2010/04/10 10:26] Rose Springvale: here is the current info on filing fees, for the record
[2010/04/10 10:26] Legal Writer: Rose, the $300 filing fee for the sponsorship would take roughly half of our money on hand if we did not get a sponsorhship.
[2010/04/10 10:26] SlMON Batista: that you
[2010/04/10 10:26] Rose Springvale: User Fees Set to Increase
The User Fees that must be paid with an exemption application are
scheduled to increase on January 3, 2010. Organizations whose gross
receipts average less than $10,000 per year will pay $400. Others pay $850.
When the Cyber Assistant becomes available later in 2010, (see below),
applicants who use it will be eligible for a reduced User Fee of $200.
[2010/04/10 10:27] Rose Springvale: but isn't that why we paid it Legal?
[2010/04/10 10:27] Rose Springvale: i know you all voted this in already, but it would seem that we would be better off being independent, and letting them contribute for sponsoring program later
[2010/04/10 10:28] Legal Writer: I think the idea is that our association does not have a lot of budget. If we get a sponsorship, we can pay for other things of interest to us, and not wipe out half of our reserves.
[2010/04/10 10:28] Rose Springvale: if we need money.
[2010/04/10 10:28] Rose Springvale: well, i am opposed to retaining reserves when we don't use them. but w/e
[2010/04/10 10:28] SlMON Batista: may i ask a question ?
[2010/04/10 10:28] Mick Stenvaag: I agree
[2010/04/10 10:28] Rose Springvale: especially when it was this that we paid the dues for
[2010/04/10 10:28] Lexis Looming: Hearing no questions, that completes my report
[2010/04/10 10:28] Geri Kuhn: One Sec, Simon
[2010/04/10 10:28] Legal Writer: I don't get the idea that Meggan is going to compromise our independence.
[2010/04/10 10:28] Geri Kuhn: Let's finish the financial report first
[2010/04/10 10:28] Rose Springvale: any affiliation with a single firm does
[2010/04/10 10:28] SlMON Batista: sure
[2010/04/10 10:29] Geri Kuhn: Lexis, there was a question
[2010/04/10 10:29] Lexis Looming: Rose we voted to approve the 501c3 on the basis the filing fee would be donated
[2010/04/10 10:29] Lexis Looming: it is in the transcripts
[2010/04/10 10:29] Geri Kuhn: about the overall total in US dollars
[2010/04/10 10:29] Kaseido Quandry: if you voted on the basis of a donation -
[2010/04/10 10:29] Kaseido Quandry: I don't see that a sponsorship is the equivalent
[2010/04/10 10:29] Rose Springvale: i see, thanks Lexis. I thought donations had no strings attached
[2010/04/10 10:29] Lexis Looming: Legal offered to pay if no one else did
[2010/04/10 10:30] Rose Springvale: many people have offered to contribute
[2010/04/10 10:30] Geri Kuhn: Can you give us the figure in US dollars?
[2010/04/10 10:30] Rose Springvale: with no strings. but please, carry on
[2010/04/10 10:30] Geri Kuhn: Can we hold off on the 501 (c)(3) stuff for a moment
[2010/04/10 10:31] Lexis Looming: our balance is about $725 USFD
[2010/04/10 10:31] Lexis Looming: USD
[2010/04/10 10:31] Geri Kuhn: Terrrific, thanks.
[2010/04/10 10:31] Geri Kuhn: Is there any other question for Lexis?
[2010/04/10 10:32] Geri Kuhn: Okay, thank you Lexis, for your report and for your time.
[2010/04/10 10:32] Lexis Looming: no problem
[2010/04/10 10:32] Geri Kuhn: I was wondering, Lexis, if you could just give a brief description of the credential evaluation program we have - for our newer members
[2010/04/10 10:33] Geri Kuhn: credential verifciation, I mean
[2010/04/10 10:33] Lexis Looming: Sure
[2010/04/10 10:33] Lexis Looming: It is a voluntary program
[2010/04/10 10:33] Lexis Looming: for any member who wants to have his or her credentials in rl verified in sl
[2010/04/10 10:34] Lexis Looming: we will contact the licensing authority in the member's jurisdiction and get their registered telephone number
[2010/04/10 10:34] Lexis Looming: we will then call the rl attorney and verify they are connected with the sl avatar
[2010/04/10 10:35] Lexis Looming: We have a $2,750L fee ($10.00USD) to cover the expenses of the telephone calls
[2010/04/10 10:35] Rose Springvale: ??
[2010/04/10 10:35] Lexis Looming: so far non of our verifiers have requested reimbursement
[2010/04/10 10:35] Rose Springvale: oh, nm
[2010/04/10 10:35] Lexis Looming: so it has been all revenue
[2010/04/10 10:36] Lexis Looming: If you wish to be verified
[2010/04/10 10:36] Lexis Looming: please get the form from our web site and submit it to me
[2010/04/10 10:36] Lexis Looming: pay the credential verification box in the lobby here by the dues box
[2010/04/10 10:37] Geri Kuhn: http://www.slba.info/
[2010/04/10 10:37] Geri Kuhn: Our website.
[2010/04/10 10:37] Lexis Looming: thank you Geri
[2010/04/10 10:37] Geri Kuhn: Thanks Lexis.
[2010/04/10 10:37] Lexis Looming: I think it is also on the Ning site
[2010/04/10 10:37] Geri Kuhn: good
[2010/04/10 10:38] Geri Kuhn: Simon, you had a question
[2010/04/10 10:38] Lexis Looming: http://slbarassn.ning.com/
[2010/04/10 10:38] SlMON Batista: yes i was looking for a lawyer who handles patent related stuff i was told to come here today at 10am
[2010/04/10 10:38] SlMON Batista: I arrived a little late
[2010/04/10 10:38] Geri Kuhn: Okay, well Simon, you are in a room full of lawyers
[2010/04/10 10:38] SlMON Batista: yes its a good start
[2010/04/10 10:39] Geri Kuhn: so if anyone can assist Simon, please send him an IM
[2010/04/10 10:39] Lexis Looming: Simon, maybe some of our members w2ill talk to you after our meeting
[2010/04/10 10:39] SlMON Batista: thank you
[2010/04/10 10:39] Geri Kuhn: Back to the 501(c)(3) stuff....
[2010/04/10 10:40] Geri Kuhn: We have only had a preliminary discussion with a lawyer at Pillsbury
[2010/04/10 10:40] Geri Kuhn: Nothing has been finalized yet.
[2010/04/10 10:40] Rose Springvale: Whoever fills out the application will need to disclose that affiliation
[2010/04/10 10:41] Geri Kuhn: We will have to keep that in mind.
[2010/04/10 10:41] Mick Stenvaag: question
[2010/04/10 10:41] Geri Kuhn: One sec
[2010/04/10 10:41] Rose Springvale: that whole "inure to the benefit of individuals" might be an issue
[2010/04/10 10:41] Geri Kuhn: We do have an approved motion.
[2010/04/10 10:41] Geri Kuhn: But I believe our board should discuss this more in light of some of the comments made today.
[2010/04/10 10:42] Lexis Looming: I don't think we can get nervous anytime someone wants to make a donation. Isn't that why we are seeking the 501c3 so we can get donations?
[2010/04/10 10:42] Legal Writer: I don't think that a sponsorship is going to create an "affiliation."
[2010/04/10 10:42] Rose Springvale: legal
[2010/04/10 10:43] Legal Writer: Lexis is exactly right.
[2010/04/10 10:43] Rose Springvale: they are not donating. they are buying ad space
[2010/04/10 10:43] Rose Springvale: i think that is how the irs will see it
[2010/04/10 10:43] Legal Writer: We are thanking them for a donation.
[2010/04/10 10:43] Mick Stenvaag: I have a comemnt
[2010/04/10 10:43] Legal Writer: And providing some recognition for it.
[2010/04/10 10:43] Kaseido Quandry: it sounded like a contract to *me*....
[2010/04/10 10:43] Geri Kuhn: Well pMick , go ahead
[2010/04/10 10:44] Geri Kuhn: sorry MIck
[2010/04/10 10:44] Mick Stenvaag: I have been invloved with 523
[2010/04/10 10:44] Mick Stenvaag: and 503C
[2010/04/10 10:44] Mick Stenvaag: and if your mission is cl;early stated
[2010/04/10 10:44] Mick Stenvaag: you are taking donations
[2010/04/10 10:44] Mick Stenvaag: merely
[2010/04/10 10:44] Mick Stenvaag: I would also suggest
[2010/04/10 10:44] Mick Stenvaag: that we forma committee
[2010/04/10 10:45] Mick Stenvaag: to dive deep and educate the group
[2010/04/10 10:45] Mick Stenvaag: so we can vote up and down
[2010/04/10 10:45] Mick Stenvaag: as more marketing
[2010/04/10 10:45] Mick Stenvaag: oppoty arrive
[2010/04/10 10:45] Mick Stenvaag: end of comment
[2010/04/10 10:45] Kaseido Quandry: very sensible
[2010/04/10 10:45] Lexis Looming: I can't imagine that MDA loses its 501c3 because 7-11 is a sponsor of the Telethon
[2010/04/10 10:45] Geri Kuhn: Thank you Mick
[2010/04/10 10:45] Rose Springvale: wait
[2010/04/10 10:46] Rose Springvale: MDA is a 501 c 3 irrespective of sponsorship
[2010/04/10 10:46] Rose Springvale: that is a PROGRAM they sponsor, not the application
[2010/04/10 10:46] Lexis Looming: so will we be
[2010/04/10 10:46] Rose Springvale: i don't have any issue with firms who want to sponsor programs
[2010/04/10 10:46] Mick Stenvaag: follow up point
[2010/04/10 10:46] Mick Stenvaag: ??
[2010/04/10 10:46] Mick Stenvaag: madam chair
[2010/04/10 10:46] Rose Springvale: but to do it as a trade off for our application... does not sound like a donation to me.
[2010/04/10 10:46] Geri Kuhn: Mick
[2010/04/10 10:46] Geri Kuhn: Please go ahead
[2010/04/10 10:47] Mick Stenvaag: we should have for our interanal
[2010/04/10 10:47] Legal Writer: This is a standard thing that organizations do -- thank their sponsors.
[2010/04/10 10:47] Mick Stenvaag: comfort
[2010/04/10 10:47] Rose Springvale: after they are in existence!
[2010/04/10 10:47] Mick Stenvaag: a clear "what we intend to do"
[2010/04/10 10:47] Lexis Looming: I don't see a quid pro quo. They donate and we do the right thing and give them credit
[2010/04/10 10:47] Mick Stenvaag: as the 503C forms
[2010/04/10 10:47] Mick Stenvaag: it will take out the "fear factor"
[2010/04/10 10:47] Rose Springvale: good luck with your irs agent on that
[2010/04/10 10:47] Mick Stenvaag: end of comment
[2010/04/10 10:47] Geri Kuhn: Okay thanks Mick
[2010/04/10 10:47] Geri Kuhn: Well we have 10 minutes
[2010/04/10 10:48] Geri Kuhn: left
[2010/04/10 10:48] Geri Kuhn: I will include this item on the agenda for next month
[2010/04/10 10:48] Geri Kuhn: Mick, I like your idea for the committee
[2010/04/10 10:48] Legal Writer: I would say we can set up a sponsorship committee and have people evaluate it.
[2010/04/10 10:48] Legal Writer: But I think we need sponsorships if we are to grow and thrive.
[2010/04/10 10:48] Mick Stenvaag: do I hear a motion?
[2010/04/10 10:48] Legal Writer: We need the money, and shouldn't be gun shy to take it.
[2010/04/10 10:49] Rose Springvale: i disagree
[2010/04/10 10:49] Michele Jigsaw: and so as not to waste time, if there are people who are willing to sponsor the registration flat out they should make themselves known
[2010/04/10 10:49] Rose Springvale: we do not need the money, but if someone wants to make a gift, go for it
[2010/04/10 10:49] Rose Springvale: we have 725 usd of donations already made
[2010/04/10 10:49] Geri Kuhn: Mick, can you make that motion?
[2010/04/10 10:50] Mick Stenvaag: Madam Chair I would like to make a motion
[2010/04/10 10:50] Mick Stenvaag: I motion that we forma committe to gather facts
[2010/04/10 10:50] Mick Stenvaag: educate our members
[2010/04/10 10:50] Mick Stenvaag: and present recommndations to the board
[2010/04/10 10:51] Mick Stenvaag: as how to frame and seek donations
[2010/04/10 10:51] Michele Jigsaw: second
[2010/04/10 10:51] Mick Stenvaag: within the 503C framework discusses eariler
[2010/04/10 10:51] Mick Stenvaag: end of comment
[2010/04/10 10:51] Geri Kuhn: Any discussion?
[2010/04/10 10:51] Geri Kuhn: Okay, all in favor?
[2010/04/10 10:51] Legal Writer: aye
[2010/04/10 10:51] Lexis Looming: aye
[2010/04/10 10:51] Mick Stenvaag: move to close
[2010/04/10 10:51] Geri Kuhn: aye
[2010/04/10 10:51] Mick Stenvaag: aye
[2010/04/10 10:51] Michele Jigsaw: aye
[2010/04/10 10:51] Rose Springvale: abstain
[2010/04/10 10:52] Geri Kuhn: any opposed?
